1. About us
StandfastQR (“the Service”) is provided by Leading Logic Ltd (“we”, “us”), a company registered in England and Wales, company no. [number], VAT no. [number], registered office [registered address]. Contact details are in our imprint.
2. The contract
2.1 These terms, our Acceptable Use Policy, our Refunds policy and Schedule S1 below form the contract between you and us. If you use the Service for a business, our Data Processing Agreement also applies.
2.2 The contract starts when you create an account or complete a purchase, whichever is first.
2.3 If you are a consumer, nothing in these terms affects your statutory rights.
3. Your account
3.1 You sign in with your email address and a one-time code. Keep access to that email address secure, because anyone who controls it can sign in.
3.2 You must give a correct email address and keep it current, because we send important notices there.
3.3 You are responsible for activity in your account, including through API keys you create.
4. Packs and payment
4.1 You buy packs of dynamic codes and custom-domain allowances for a one-time payment. There is no subscription and no automatic renewal.
4.2 Payments are processed by Stripe. The seller of record is Onelink, LLC, which operates Stripe’s Managed Payments service and handles applicable sales tax and VAT. Charges appear as LINK.COM* STANDFASTQR.
4.3 Allowances add up across purchases and do not expire. A retired code continues to use its slot, because code identifiers are never reused.
4.4 Your account’s features are those of the highest pack you have bought and not had refunded.
5. Your right to withdraw
5.1 If you are a consumer, you may withdraw from a purchase within 14 days of the purchase date without giving a reason.
5.2 At checkout you ask us to start providing the Service immediately. You can still withdraw within the 14 days, and we will give you a full refund.
5.3 To withdraw, use the “Withdraw from contract here” function linked in the footer of every page, at /withdraw, or the button on your dashboard’s Orders page. We acknowledge your withdrawal on a durable medium (email), with the date and time.
5.4 When a purchase is withdrawn or refunded, Schedule S1.3(c) applies to your codes.
5.5 We offer the same withdrawal option to business customers.
6. Using the Service
6.1 You must follow our Acceptable Use Policy. In particular, codes must not point to phishing, malware, fraud or unlawful content.
6.2 We check destinations when you save them and from time to time afterwards. A destination that fails a safety check cannot be saved.
6.3 Reasonable rate limits apply, as published in our documentation, including 50 destination changes per code per day.
7. Codes and destinations
7.1 Each code has an identifier issued only to you. We never reassign it (Schedule S1.5).
7.2 We redirect scanners to the destination you set. We do not host or control the content at your destination and are not responsible for it.
7.3 You may pause, resume or retire a code. Retiring is permanent.
8. Custom domains
8.1 You may connect subdomains you control. You confirm you have the right to use them.
8.2 You control your custom domain and its DNS. We acquire no rights in it. Schedule S1.7 and S1.7a apply.
9. Personal data
9.1 Our privacy notice explains how we handle personal data.
9.2 Scan statistics contain no IP addresses, only the date, country and device type.
10. Availability
10.1 We aim for high availability, but the Service is provided over the internet and may occasionally be unavailable. Our commitments about codes continuing to work are in Schedule S1.
11. Liability
11.1 Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
11.2 [Liability cap and its interaction with Schedule S1 to be confirmed by our lawyers.]
12. Changes to these terms
12.1 We may update these terms for legal, regulatory or operational reasons. We will email you at least 30 days before a change that affects you materially.
12.2 We will not change Schedule S1 in a way that reduces your protection for codes you already have.
13. Ending the contract
13.1 You may stop using the Service at any time.
13.2 We may suspend or end your account if you seriously or repeatedly breach the Acceptable Use Policy.
13.3 Schedule S1.10 sets out which commitments survive the end of your account.
14. Law and disputes
14.1 These terms are governed by the law of England and Wales.
14.2 If you are a consumer living elsewhere in the UK or in the EU, you also keep the protection of the mandatory laws of your country and may bring proceedings there.
Schedule S1: Continuity commitments
S1.1 Definitions.
- “Code”: a dynamic QR code identifier created in your account.
- “Shared Domain”:
sfqr.linkand any other domain we operate for redirects. - “Custom Domain”: a domain you control and connect to the Service.
- “Paid Code”: a Code occupying a slot paid for by an Order that has not been refunded, withdrawn, or reversed by a chargeback we have lost.
S1.2 No expiry for non-payment. We will not disable, deactivate or redirect a Paid Code away from your chosen destination:
- because you have not made a further payment;
- because of a period of inactivity of the Code or of your account;
- because of the number of times it has been scanned.
No recurring fee is payable for a Paid Code.
S1.3 Exhaustive grounds for stopping a Code. We may stop a Code redirecting to its destination only:
- (a) where we reasonably believe the Code or its destination is used for phishing, malware, fraud, infringement or other unlawful or harmful purposes, or breaches the Acceptable Use Policy;
- (b) temporarily, for no longer than [5] business days per occasion, while we review a Code under our published safety procedures (new-account limits or corroborated abuse reports);
- (c) where an Order is withdrawn, cancelled or refunded, or a chargeback on it is decided against us, and the number of your Codes in use then exceeds your remaining paid allowance, in which case we will suspend only the newest Codes in excess of that allowance;
- (d) where you have enabled broken-link protection for the Code and its destination is unavailable, in which case the Code redirects to your fallback page until the destination is available again;
- (e) on your instruction (pause or retire);
- (f) where required by law or by a competent authority.
For (a) and (b), we will notify you promptly, giving our reasons, unless the law or the prevention of harm prevents us. You may ask us to review our decision.
S1.4 Editing. For as long as we operate the Service, you may change the destination of a Paid Code at any time, subject to:
- the Acceptable Use Policy;
- reasonable rate limits published in our documentation.
S1.5 No reuse. We will not assign a Code identifier that has been issued to you to any other person, at any time.
S1.6 Export. You may export, at any time and at no charge, a machine-readable list of all your Codes with their destinations and status.
S1.7 Custom Domains.
- You control your Custom Domain and its DNS. We do not acquire any right in it.
- You may at any time point your Custom Domain away from the Service and serve your Codes yourself or through a third party using your export.
- We publish, under an open-source licence, software capable of serving an export in the same way as the Service.
S1.7a Releasing a Custom Domain.
- You may release a Custom Domain from the Service at any time from your dashboard.
- After release, your Codes on that domain no longer resolve through the Service, and you may serve them yourself.
- Releasing a domain does not entitle you to a refund.
S1.8 Discontinuation. If we decide to discontinue the Service:
- (a) we will give you at least [12] months’ notice by email to your account address and on our website;
- (b) during the notice period the Service will continue to operate, including editing and export;
- (c) for at least [24] months after the end of the notice period, Codes on the Shared Domain will continue to redirect to the last destination set before discontinuation, and we will keep the Shared Domain registered for that period;
- (d) we will use reasonable efforts to arrange for a third party to continue to operate the Shared Domain on terms no less favourable to you than this Schedule. If such a third party agrees, we may transfer this Schedule to it.
S1.9 Insolvency and reserve.
- We will hold a reserve of [the greater of £[x] and [5]% of Code revenue] in a separate account, for the sole purpose of meeting S1.8(c).
- We will keep the registration of the Shared Domain prepaid for at least [9] years ahead at all times. The target is 10; 9 allows for the annual renewal cycle.
S1.10 Survival. S1.2–S1.8 survive termination of your account, except termination under S1.3(a).
S1.11 Liability. Nothing in this Schedule limits your statutory rights.
